Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of AizuPass websites, applications, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Services.

2. The Services

AizuPass provides tools for organizers and authorized staff to configure events, manage guest lists, scan QR codes, export data, and related workflows. Features may vary by plan or configuration. We may modify or discontinue portions of the Services with reasonable notice where appropriate.

3. Accounts and eligibility

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account except where caused by our breach of these Terms. You must have authority to bind any organization you represent.

4. Customer data

You retain rights to data you submit through the Services (“Customer Data”). You grant us permission to host, process, transmit, and display Customer Data solely to provide and secure the Services as you instruct. You are responsible for having a lawful basis to collect and process guest or attendee information and for honoring privacy notices you provide to your attendees.

5. Acceptable use

You agree not to misuse the Services — including by attempting to:

  • violate law or third-party rights;
  • probe, scan, or test the vulnerability of any system without authorization;
  • interfere with or disrupt the integrity or performance of the Services;
  • send unsolicited bulk communications except as permitted by applicable law and product features;
  • reverse engineer source code except where such restriction is prohibited by law.

6. Intellectual property

We own the Services, including software, branding, and documentation (excluding your Customer Data). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription or trial. You may not remove proprietary notices or misuse our marks.

7. Third-party services

The Services may interoperate with authentication providers, payment processors, or other third-party products you enable. Those services are governed by their own terms; we are not responsible for third-party products we do not control.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AIZUPASS NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER LAW.

10. Indemnity

You will defend and indemnify us against third-party claims and liabilities arising from Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law — except to the extent caused by our breach or negligence.

11. Suspension and termination

We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we are required to do so by law. You may stop using the Services at any time. Sections intended to survive termination (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction apply.

13. Changes

We may update these Terms periodically. If a change is material, we will provide notice through the Services or by email where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
